Monoline End Games: String of Legal Wins Will Snowball Until ...

Last week, I wrote about a few developments that should boost RMBS litigation recoveries, especially for bond insurers ? Judge Crotty?s summary judgment decision in Syncora v. EMC (JPMorgan) and Syncora?s subsequent settlement with BofA, resolving all of the parties? ongoing relationships.? It appears I?m not the only one who has concluded that banks may need to reassess their potential payouts as a result of recent legal setbacks.

In this July 27 client alert, major financial services firm O?Melveny & Myers, which represents BofA in MBIA?s putback suit in New York, addressed the impact of Crotty?s Opinion.? While the alert is short and worth reading in its entirety, the gist of O?Melveny?s conclusion is as follows:

In light of a recent federal court ruling, banks may wish to reevaluate litigation risk from plaintiff insurers claiming injury from alleged breaches of representations and warranties regarding mortgage securitization notes that they insured?

Institutions facing such lawsuits may wish to re-evaluate their exposure, and possibly adjust reserves set aside to cover such risks, based on the type of plaintiff and the specific language of the securitization agreements at issue.

Hold the phone ? so BofA?s own law firm in its putback litigation with MBIA is publishing an alert saying that banks may need to adjust their loss reserves associated with monoline putback litigation?? This is essentially an admission that the firm sees the tide turning against the banks in these suits.? Shouldn?t this have generated some serious pushback from O?Melveny?s powerful client?

Short answer: yes.? According to sources, this alert was pulled from O?Melveny?s website shortly after publication, only to be re-posted today.? We can only speculate as to why the alert was pulled and then re-published (without significant revision), but I can imagine that there were a few heated phone calls in between.

Regardless, now that we finally have a definitive decision from a respected court on the proper standard for mortgage putbacks, we have enough guidance to begin discussing RMBS litigation end games in earnest.? Today, we?ll begin by looking at the bond insurer suits.

These, along with mortgage insurer suits, were some of the earliest filed pieces of RMBS litigation and have been prosecuted aggressively since the onset of the mortgage crisis by some of the most skilled and aggressive private legal teams in the business. And for good reason: the monolines issued what are known as ?financial guaranty? policies, which included a guarantee that insurers would make policy payments if losses mounted; they could not deny claims or rescind coverage.

This means that bond insurers have already suffered massive, company-crippling losses as a result of insuring pools of misrepresented loans, and have been forced to pursue years of contentious litigation just to try to recover the funds they paid out.? The good news for them, is that after 4+ years of litigation, they?re finally beginning to see the light at the end of the tunnel.

Monoline End Game Scenarios

As I mentioned at the top of this article, Syncora and Countrywide just reached a settlement of all their outstanding RMBS litigation and other issues, in which Syncora will receive a cash payment of $375 million and a return of certain of its preferred shares, surplus notes and other securities.? It?s no coincidence that this settlement comes on the heels of several wins for the monolines in their suits against the major Wall St. banks.? It demonstrates that the banks (or at least Bank of America), are beginning to realize that the bond insurers? claims in these suits are potentially expensive and difficult to defeat.? This settlement, in conjunction with BofA?s settlement with Assured Guaranty (AGO) back in April of 2011 and its proposed settlement of investor putback claims initiated in June 2011, show that BofA is making a concerted effort to put legacy Countrywide liabilities behind it.

This bolsters my long-held view that the most likely end game scenario for the monolines consists of party-by-party settlements with their various bank counterparties that address all of the outstanding legal issues between the parties.? As I?ve discussed in the past, the last thing that an issuing bank wants is for one of these cases to go to trial and to see the parade of horribles that the monoline will trot out before the factfinder, showing clear breaches of underwriting guidelines time and time again.? Not only would such a trial be long and embarrassing, but it would open up the banks to paying upwards of 75-80 cents on the dollar of losses to the insurers, rather than the 25-30 cents they might be able to pay in settlement.

Of course, the tougher questions surround the timing and the ultimate size of these potential settlements.? If we could get our arms around the size of prior settlements, this might help give us a ballpark of the size of the settlements to come.? In my prior article on the Assured Guaranty settlement (at item No. 4),? I noted that based on BofA?s estimates, they were covering about 55% of AGO?s losses.? The Syncora-Countrywide settlement is much more difficult to parse as the deal, according to Syncora?s press release was part of ?an effort to terminate other relationships between the parties,? aside from simply the putback disputes.? My guess is that the putback disputes constituted the bulk of the outstanding liabilities, but it?s difficult to assess the exact proportion, as well as the value of the other consideration received by Syncora.

What we do know is that in the five deals that were the subject of Syncora?s lawsuit against Countrywide, Syncora had already paid out $145 million in claims to policyholders and had received another $257 million in claims as of the filing of the Amended Complaint.? That?s $402 million in existing claims, and future losses and claims in those deals could drive that number even higher.? Plus, the settlement covered nine other MBS Trusts not at issue in the lawsuit.? Barclays projected out the lifetime losses for Syncora in those trusts and reached a figure of up to $1.4 billion (though I know it?s hard to trust anything Barclays says since the emergence of the LIBOR scandal, other commentators have checked Barclay?s work, and it appears to hold up).? Assuming this is a reasonable estimate, and putting aside the value of the other consideration given to Syncora and the value of the non-RMBS liabilities it released, the $375 million cash payment works out to about 27 cents on the dollar of claims.

So what does this mean other monolines, such as MBIA, might receive in settlement?? In my opinion, Syncora?s settlement with Countrywide merely sets a floor for MBIA?s case against Countrywide ? that is, it is the minimum amount per dollar of claims that MBIA can expect to receive from settling that case.? This is because MBIA is in a better position in many respects than Syncora.

For one, while Syncora claimed to have found approximately 75% of the loans it had reviewed to be in material breach of Countrywide?s reps and warranties, MBIA has alleged that over 90% of the loans in the deals it insured were materially defective.? A higher breach rate means a potentially higher judgment per dollar of claims should the putback claims go to trial, driving settlement values higher.? The fact that MBIA has actually sued on all of its Countrywide transactions, whereas Syncora only sued on 5 of 14, implies that MBIA?s deals may have been worse across the board, further elevating settlement projections.

MBIA is also further along in its case against Countrywide/BofA than Syncora was, having conducted significant potentially damaging discovery on issues such as Countrywide?s internal fraud reporting and successor liability.? MBIA is on track to present its summary judgment motion on Countrywide?s liability (referred to as ?primary? liability) on August 31, and its summary judgment motion on BofA?s liability (referred to as ?successor? liability) on September 21.? BofA is keen to avoid even the presentation of such motions by MBIA because they will publicly disclose (to the extent the information is not treated as ?confidential? and sealed) all facts that MBIA has uncovered in support of its positions.

This is especially true with respect to MBIA?s motion on successor liability, as the facts MBIA will use to establish that BofA should be on the hook for Countrywide?s liabilities could be used by any plaintiff suing Countrywide and wishing to bring BofA into the case as a guarantor.? That is, the facts supporting successor liability in MBIA?s case will be directly applicable to every other plaintiff?s case for successor liability against BofA.? Apparently recognizing this, just this week MBIA asked the Court for permission to file a motion lifting the confidentiality restrictions on certain documents received in discovery.? MBIA?s attorneys know that the threat of public disclosure of items like Brian Moynihan?s deposition transcript may be the best leverage they have to force BofA to the negotiating table.

Finally, MBIA has filed a fraud claim against BofA that is fairly well developed.? This claim has survived a motion to dismiss (and appeal of that decision) and a motion for partial summary judgment on loss causation.? Should that claim be successful, MBIA could receive compensatory damages for the full amount it has lost in connection with insuring the Countrywide trusts at issue (not tied to any breach rate of the underlying loans) plus punitive damages of up to several times compensatory damages.? Though punitives are rarely awarded, the treat of punitives will certainly increase MBIA?s settlement leverage (and what better case for the imposition of punitive damages if Countrywide is shown, as MBIA suggests, to have been engaged in the systematic encouragement and coverup of mortgage fraud?).

All this leads me to believe that MBIA will be able to force BofA into a much larger settlement per dollar of claims than the one Syncora received (the same goes for Ambac in its case against EMC/JPMorgan, as it has uncovered significant evidence of a fraudulent ?double-dipping? scheme in that case).? Of course, MBIA also has to contend with BofA?s litigation counterweight, in the form of its Article 78 and plenary actions challenging MBIA?s Transformation.? But as the Article 78 decision seems likely to go against BofA (and will be appealed, regardless), and the plenary action is falling way behind the putback action due to inactivity during the last several months, MBIA will likely feel as though it has all the leverage when it comes time to seriously talk settlement.

According to MBIA?s first quarter 10-Q, the bond insurer has incurred $4.8 billion of losses on its portfolio of insured first- and second-lien RMBS deals.? The monoline has also booked $3.2 billion in expected recoveries from putbacks (it has booked no expected recoveries from its non-contractual claims).? That works out to a 66.7% expected recovery rate per dollar of incurred losses.? This would be higher than the global settlements Syncora and AGO struck with BofA, but given MBIA?s superior position, at least in its BofA case as discussed herein, I can?t say those estimates are unreasonable.

In fact, I think MBIA would recover a much higher percentage of its losses should it proceed to trial against counterparties like BofA.? The insurer could recover compensatory damages at 100% of losses if it wins its claims for fraud or rescissory damages, and damages in the range of 75% of losses if it?s forced to go the putback route, as my experience in these types of cases leads me to believe that at least 80% of MBIA?s alleged ineligible loans to be upheld by the factfinder.? Compared to these end game scenarios, a settlement in the 66% range may begin to look attractive as MBIA continues to pile up victories in its litigation.

This brings me to probably the tougher question on monoline end games ? timing.? Settlement timing is always difficult to estimate since so many factors are at play.? But there are certain points in litigation that I term ?inflection points? ? junctures at which settlement becomes more likely because of the threat of adverse legal developments.? The presentation of MBIA?s summary judgment motions in its case against Countrywide/BofA (especially the one on successor liability) create just these sorts of inflection points.? The time between when the summary judgment motions are fully briefed and Judge Bransten issues her rulings also constitutes an inflection point, as BofA may feel pressure to avoid yet another scathing Bransten decision.? Based on these upcoming inflection points in the case, I will go out on a limb and say that MBIA?s litigation against BofA is likely to settle before the end of this year.

This timing will be different for each monoline action depending on the individual circumstances, but what they all have in common is that they all are very likely to settle before trial.? Given the lack of viable defenses that banks have at their disposal, and the parade of damaging evidence that will paraded before a factfinder should trial ensue, I don?t see how any financial institution can logically allow any of these cases to go to trial.? Doing so would only expose the banks to potentially devastating precedent and damage awards, which they call ill afford at this time.

There are important differences between the monoline cases and the cases of RMBS investors, the other major group of plaintiffs attempting to recover their losses from the major banks.? Stay tuned over the next week as I tackle those differences and the status of investor recovery efforts in my next installment in my series on end game scenarios.

Olympics track & field: 5 athletes to watch

With 49 different events from the women's 3000-meter steeplechase to the men's shot put, track and field has far more than five athletes to watch, but here are some of the most-watched.

1. Yohan Blake, Jamaica (sprinter)

The man to watch on the track in London, as in Beijing, is clearly Usain Bolt. In Beijing, the Jamaican not only won the gold in the 100- and 200-meters, but set world records doing it. Enter Yohan Blake, whom Bolt calls the "Beast." The reason? "Because when you're sleeping, I'm working," Blake told the British newspaper the Guardian. That work ethic has made him perhaps the co-favorite for the 100- and 200-meters in London with Bolt. In the Jamaican trials, Blake won both races.

In fact, Jamaica has a decent chance of sweeping the men's 100 meters, with Asafa Powell also a medal contender. American Tyson Gay, for one, hopes to break up that trio. But if the Jamaicans can manage it, they will match what their women did in Beijing, taking gold, silver, and bronze in track and field's showcase event.

2. Ashton Eaton, USA (decathlete)

The winner of the Olympic decathlon, it is often said, wins the unofficial title of "world's best athlete." This year, that could be American Ashton Eaton. He certainly made a statement at the US Olympic trials, where he scored 9,039 points, breaking an 11-year-old world record. In London, as at the Olympic trials in Oregon, Eaton's top competition could be American Trey Hardee. Indeed, had not defending Olympic champion Bryan Clay made mistakes in the hurdles and discus, America would have a chance to sweep the medals. As it is, Clay failed to qualify.

Historically, the decathlon has been good to America. It was what got Bruce Jenner on a box of Wheaties, of course. And an American has stood atop the podium 12 of the 22 times a decathlon medal has been handed out since 1912. From 1936 to 1960, an American won the men's decathlon at every Olympics ? a six Games winning streak.

3. Jessica Ennis, Britain (heptathlete)

As the top British gold-medal favorite in what is arguably the Summer Olympics' biggest sport ? track and field ? Jessica Ennis stands to be perhaps the face of the games for the host nation. She is currently ranked No. 1 in the world, but two Eastern Europeans stand right beside her as the best heptathletes in the world, Tatyana Chernova of Russia and Nataliya Dobrynska of Ukraine. (The heptathlon is the women's decathlon, but has only seven events compared to the decathlon's 10.)

She is well aware of the pressure of potentially being Britain's Cathy Freeman, the gold-medal-winning Australian sprinter who provided the Sydney Olympics with perhaps their most iconic moment. "Because of the expectation and pressure, I think anything but gold, everyone would view that as a failure and I'm aware of that," Ennis told London's Evening Standard.

4. Yelena Isinbayeva, Russia (pole vault)

Yelena Isinbayeva leaves no doubt that she is a diva. But as often as not, she also leaves no doubt of her skill. The Russian pole vaulter is the two-time defending gold medalist and widely considered the best ever. Widely loved? Maybe not as much.

Part of Isinbayeva's game plan is to try to psyche out the competition by not taking any easy vaults. Most competitors start vaulting at relatively low heights to help get them warmed up. Not Isinbayeva. She starts only when the heights start getting difficult, and until then, she lies on the infield of the track with her back to the competition and a towel over her head as though to signal her complete disdain for her competitors. Those competitors, including British favorite Holly Bleasdale, have said they are not amused.

Often, it works, though. She's broken her own world records 28 times. Sometimes, it doesn't. At the 2009 world championships, she failed to make a single vault. The same thing happened in a Olympic warm-up event in Monaco earlier this month.

Which Isinbayeva will show up at the 2012 Olympics? Who knows. But London could be her last Games. She's suggested she may retire.

5. Allyson Felix, USA (sprinter)

Allyson Felix is the Michelle Kwan of the 200 meters, you might say. Humble, unfailingly polite, and enormously talented, Felix is the best 200-meter sprinter of her generation ? but she has never won Olympic gold. Twice, she has finished second.

"I've never gotten over it," she said at a pre-Olympics media summit. "I don't want to. It's motivation."

Both times, the winner was Jamaican Veronica Campbell-Brown, and with Jamaica seeking to replace the US as the world's top sprinting nation at these Games, the race takes on an added significance.

Felix will also run in the 100 meters after she controversially tied for third with Jeneba Tarmoh at the US Olympic trials. With only three US sprinters allowed in the 100 at the Olympics, and no formal procedure for breaking a tie, the governing body of US track and field suggested a run-off. Tarmoh declined, conceding the spot to Felix.

Felix is not considered a medal favorite in the 100, but the race could help her improve her start times in the 200. In the 200, she has a reputation of relatively slow starts and strong, winning finishes.

Olympics 2012: NBA veteran Ike Diogu leads Nigeria over Tunisia for first-ever win at Games

LONDON?By all accounts, Nigeria?s basketball team shouldn?t even be in the 2012 Olympics. But former Arizona State standout and NBA veteran Ike Diogu willed them here with an incredible performance in this year?s FIBA qualifying tournament that featured upset wins over Lithuania and Greece, as well as a 25-point, 10-rebound showing by Diogu in a win over the Dominican Republic that punched Nigeria?s ticket to the Olympics for the first time.

On Sunday, Diogu and Nigeria kept the Cinderella story rolling when D?Tigers won their first-ever Olympic game, beating Tunisia, 60-56. Diogu finished with 13 points and 10 rebounds. Former Georgia Tech star Alade Aminu (whose brother, Hornets forward Al-Farouq Aminu, also plays for Nigeria) had 15 points and nine rebounds.

?It was our first-ever win at the Olympic Games so it has to be a historic day for us,? Diogu said. ?Now we showed everyone that we are the best team in Africa. We just played legitimate basketball to show the world who?s best in Africa.?

Diogu and Aminu were key in helping Nigeria to a 42-39 rebounding advantage. Coming into the opener against Tunisia, the reigning African champion, Nigeria was not expected to match up, size-wise, inside.

?They were bigger than us, but myself, Alade and the other guys proved we can fight for rebounds against any team in the world,? Diogu said.

Diogu?s international success comes as somewhat of a surprise given the way his NBA career went. He was chosen by the Warriors with the No. 9 pick in the 2005 draft, but his size (6-8) proved to be too much of an obstacle for him to succeed in an NBA frontcourt. He has bounced through six teams, playing 225 games, including two games with the Spurs this year before being waived and signing in Puerto Rico. He played briefly in China before rejoining the Puerto Rican league.

Though Nigeria produced one of the great NBA centers of all time, Hakeem Olajuwon, he never suited up for the national team, instead playing for Team USA. Thus, basketball on the international stage has never really caught on in the country?and even now, the bulk of Nigeria?s players were born in the U.S. But Diogu is hoping to change the perception of Nigerian basketball.

?I believe they were following us (in Nigeria),? Diogu said. ?Maybe now they will follow us even more.?

Firestorm hits rebel-held Salaheddin in Aleppo

Dawn in the Salaheddin district of Syria's second city Aleppo brought a firestorm with four buildings quickly set ablaze as rebels and foreign fighters battled a long-anticipated army offensive.

"It started at 4:00 am (1:00 GMT) and eight hours later it's still hell. This is madness," an AFP correspondent reported on Saturday.

Four helicopters launched salvoes of rockets before the rebel-held district, which has been surrounded by President Bashar al-Assad's forces, was bombarded by artillery and tanks.

Families fled the fighting, clutching jars of preserves and bottles of milk and water amid food shortages.

Three women sheltering in a Salaheddin basement were all armed with small pistols.

"I would choose death rather than be attacked by the regime soldiers," said one.

Many panic-stricken women and children have fled the quarter since Friday for other parts of the city, leaving behind only groups of men.

The opposition fighting against regime forces includes both Syrian rebels and foreign fighters, who said they belonged to the Liwa al-Tawhid al-Mujahedeen (United Mujahedeen Brigade).

The foreigners told AFP they hailed from from Chechnya, Algeria, Sweden and France. When the correspondent was about to pass the phone to a French fighter, the line went dead.

An attack on the Hamdaniyeh district, where the correspondent was stationed, was repelled.

On the road were three tanks and two armoured vehicles destroyed by the opposition, as well as the bodies of five or six soldiers and four rebels.

A senior Free Syrian Army colonel, Abdel Jabbar al-Oqaidi, told AFP that 100 tanks were massed on the outskirts of Salaheddin.

In the large district in the southwest of the city, rebels had mounted a machinegun on a red pick-up truck with the words "United Mujahedeen Brigade" spray-painted on its side.

A video posted online by activists shows them shooting frantically at the helicopter gunships above, spurred on by the rallying cries of other rebels in the street.

Another video shows flames licking from a building as gunfire crackles in the background and verses from the Koran can be heard from a nearby mosque.

Women and children have been evacuating the Salaheddin area since Friday, seeking refuge in other areas of the city. Those residents who have opted to stay behind have sought refuge in the basements of houses.

According to the AFP correspondent, there is no electricity and water in the city, and food stocks are so low that it is nearly impossible to find bread supplies.

"There are thousands of people in the streets fleeing the bombardment. They're being terrorised by helicopter gunships flying at low altitude," said one activist who identified himself as Amer.

"There's a large number of civilians who have taken refuge in public parks in safer areas, but most took refuge in schools," he told AFP via Skype.

"They cannot get out of town and there is no safe place left for them in Syria," he added.

Until recently, both Aleppo and the capital Damascus had been considered to be relative safe havens.

A Syrian security source told AFP: "Hotspots have been completely blocked off to stop the terrorists from escaping," the term the regime uses when it refers to the rebels.

One militant suggested that regime forces were resorting to subterfuge.

"Some soldiers are passing themselves off as rebels, and putting up checkpoints with the rebel flag to trap fighters taking supplies between secure areas and 'hot' districts," he said.

And if she sends me a photo I can double-click it to make it bigger and then share it on Facebook.

Recently, Current Analysis analyst Avi Greengart issued this tweet: ?OS X Mountain Lion is a more natural upgrade from Windows 7 than moving to Windows 8.? There?s actually some truth to this comment because Windows 8 represents a radical user interface change for the world?s most popular desktop OS. Mountain Lion may borrow plenty of elements from iOS, from Launchpad to apps like Notes, but it?s still very much a traditional operating system. friendship onlineYesterday, Frank Viola published a guest post on his blog, Beyond Evangelical, by Stephanie Bennett titled, ?The ILLUSIONARY Nature of Online Friendships via Facebook & Other Social Media?

Some of the claims Stephanie makes in the blog post include:

One main challenge is in dealing with something we might call a hyper-knowing of others. This is that tendency to be much more open with those we don?t live with ? sharing personal (and increasingly private) information about ourselves with those whom we have no primary responsibility or actual embodied experience. When this happens, people often feel they are closer to their distant online friends than they are to the people around them. The main problem here is that the online friendship is mostly illusional?

As we transfer more and more of our human communication to mediated environments (such as Facebook) we inadvertently limit our ability to grow, both spiritually and in our relationships. Instead of depth of relationship we are more apt to gain relationships that are sparse, superficial, and unsatisfying.

Trust, loyalty, faithfulness ? all are developed in an environment that is tangible, actual ? a place where people are meeting face-to-face, sharing Christ through words and deeds.

Social Media Pitfalls

I?ve been using social media long enough to know there are certainly valid concerns about social media.

  • There is a danger in sharing too much personal information online.
  • There is a danger in pursuing social media popularity because it feels good to have lots of friends and likes and comments.
  • There is a danger that one could end up with lots of superficial online connections at the expense of deep face-to-face relationship.

What concerns me about the article is it seems to indicate these problems are virtual certainties. There are potential pitfalls with social media, but aren?t they avoidable? And aren?t there also ways social media can enhance the relationships we have with offline friends and even lead to new, genuine friendships?

Stories and Anecdotal Evidence

We could talk theorhetically about this all day, but I don?t think it would be nearly as helpful as sharing real-life stories.

I?ll go first, Kim Reynolds and Jackie Bigford are acquaintances of mine. They met each other through social media and have now started a business, Savvy Media Marketing, together.

A second example, I forget exactly when I first connected with Mark Merrill who is founder of Family First and All Pro Dad, but I believe it was either through Twitter or his blog. We interacted through Twitter and then had lunch together. Because of my friendship with Mark, I became more involved in the All Pro Dad chapter at my kids? school, and when Mark?s book All Pro Dad was published, I helped spread the word about it through a couple posts on my LiveIntentionally.org blog ?and social media.

If we can agree that social media has both upside and downside for deep relationships, then we can move the conversation beyond ?yes or no? to ?how and when.?

(AP) ? The retiring star with more gold medals than anyone. The friendly rival who intends to be the biggest star in London.

Michael Phelps vs. Ryan Lochte.

What a way to start eight days of swimming at the Olympic pool!

The two Americans will go head-to-head Saturday in the 400-meter individual medley, a grueling race encompassing all four strokes, an appropriate way for one or the other to fire the first salvo in this most intriguing of rivalries.

"A very rough race," said Phelps' coach, Bob Bowman, smiling at the possibilities. "It will be a coach's dream, but also a spectator's dream. It will be fantastic."

For Phelps, it's a chance to add to his record total of 14 gold medals and become the first male swimmer to win the same event at three straight Olympics. But Lochte is the defending world champion and defeated Phelps rather easily at the U.S. trials last month.

Lochte is certainly not lacking for confidence.

"Right after Beijing, I had a four-year plan for getting here to London," he said. "I thought I could go a lot faster. I knew I could, just because of the training I've done. That's why I knew this was going to be my year."

Lochte started following the same training regimen used by burly athletes who can compete in Strongman competitions ? rolling large tires, tossing kegs, dragging chains. He believes it's made him stronger than anyone else in the pool. He believes it's the edge he needs to beat Phelps, and everyone else.

"It's going to pay off," Lochte said. "I just know it."

The Phelps-Lochte showdown won't be the only event on the opening night of swimming.

The home crowd will be cheering on Britain's Hannah Miley in the women's 400 IM, where she'll be competing against American teenager Elizabeth Beisel and California-based Katinka Hosszu, the latest in a long line of Hungarian medley specialists. The men's 400 freestyle figures to be a tussle among China's Sun Yang, South Korea's Park Tae-hwan and France's Yannick Angel. Ranomi Kromowidjojo leads the Flying Dutch in the women's 4x100 free relay, an event the Netherlands won at the last Olympics and the past two world championships.

The Americans will look to challenge with a relay squad that potentially includes Natalie Coughlin, who won six medals in Beijing but didn't even qualify for an individual event for these games. The 29-year-old was knocked off at the U.S. trials by an emerging wave of teenage stars, including Missy Franklin, but managed to claim a spot on the team as a possible relay swimmer by finishing sixth in the 100 free.

Without a strong showing in the preliminaries, she might not even get a chance to swim the evening final. But, if the Americans finish on the podium, a morning swim would be good enough to give Coughlin the 12th medal of her career, tying Dara Torres and Jenny Thompson as America's most decorated female Olympian.

But those races are mere warmups to the main event.

Phelps is chasing more history at these games, having already claimed the record for most golds ? five more than anyone else ? and knocked off Mark Spitz's iconic Olympic standard with eight wins in Beijing. Next up: Soviet gymnast Larisa Latynina, who is two ahead of Phelps with 18 career medals. It shouldn't be too much of a challenge for him to take down that record, since he's got seven events in London and figures to win a medal of some color in every one of them.

Lochte doesn't mind Phelps winning silver or bronze. Those colors don't interest the laid-back Floridian in the least.

"You should be going in with the mindset of winning," Lochte said. "That's what I'm going to be doing each race. I'm going up there to win. I'm not going for silver or bronze, I'm going for gold."

The winningest Olympian ever will certainly have something to say about that. Phelps struggled to stay motivated after Beijing, and some lackluster training showed at last year's world championships, where he was beaten by Lochte in both the 200 free and 200 individual medley. But Phelps has clearly regained his racing edge, wanting to go out in style at what he insists will be the final meet of his career. He intends to retire as soon as his final Olympic race is done.

"Last workout ever," Phelps tweeted Friday morning, joking that he wouldn't have to do anymore "garbage yardage" and thanking his coach for guiding him throughout his career. "Now let's have some fun this week."

Phelps showed he means business by beating Lochte in both the 200 free and the 200 IM at the U.S. trials. While Lochte took the 400 IM, Phelps only restored that event to his program earlier this year, after vowing to give it up after Beijing. He figures to be faster in London than he was in Omaha.

"It's always a challenge to have things go perfectly," Phelps said. "For the very first night, it is going to be a challenging race. It's going to be an exciting race. Bob and I have changed a few things over the past few weeks, and we'll see what's going to happen in that race. I feel confident. Everything feels good."

Lochte vows he'll also be a lot faster than he was at the trials.

"I knew that wasn't my meet," he said. "That was just a little appetizer, I guess. This is the big show. This is what I've been working for. I wasn't working for trials. I was working for the Olympics."

Because of his unique training program, he believes he's got an edge on everyone at the pool ? Phelps included. Lochte is convinced that flipping an 850-pound tire 20 or 30 times down a lonely Florida road is just what he needed to knock off the guy with all those gold medals.

"That Strongman stuff, it helped me out a lot," Lochte said. "I knew no other swimmer was doing the stuff I was doing. I knew I had an edge. That gave me the confidence that I needed."

Now, we'll see if that's enough.

What an opening night indeed.
